Terms and Conditions
1. General Provisions These Terms and Conditions apply to all transactions conducted through the ProfitexShop platform. By using the platform, the USER agrees to abide by these terms.
2. Prices and Payments
  • All prices displayed are NET prices without VAT.
  • Prices are valid only when ordering the complete offer.
  • Prices are subject to change without prior notice.
  • Payments must be made as per the agreed payment terms.
  • The Operator of ProfitexShop reserves the right to correct the price of the goods prior to dispatch if the Operator finds that the goods have been offered at a clearly incorrect price. In this case, the USER must be informed of the correct price and must agree to the price adjustment. Otherwise, the purchase contract will not be concluded, and the order will be cancelled by the Operator.
3. Orders and Delivery
  • Orders are subject to confirmation and stock availability.
  • The delivery time indicated is based on current stock levels and may change.
  • Due to global supply chain constraints, delivery times may be extended.
  • Any order changes or cancellations require prior approval from Profitex and may involve additional costs or may not be possible.
  • Risk of loss transfers to the buyer upon shipment.
  • Delivery discrepancies must be reported within 48 hours of receipt.

4. Returns and Warranty
  • Returns must be requested within 7 days of delivery and require approval from Profitex.
  • Returned products must be in their original packaging and condition.
  • Profitex primarily supplies new products but provides refurbished items upon request.
  • Warranty terms follow the manufacturer's conditions, typically ranging from 12 to 24 months, depending on the product and manufacturer.
  • Profitex is not liable for indirect, incidental, or consequential damages.
  • Liability is limited to the product's purchase value.
5. Certification and Compliance
  • The displayed prices do not include additional certifications.
  • Certification requirements must be specified at the time of order placement.

6. Confidentiality and Data Protection (GDPR Compliance)
  • The USER agrees to keep all business-related information confidential.
  • Information such as prices, stock levels, and order details must not be shared with third parties.
  • Profitex processes personal data in accordance with the General Data Protection Regulation (GDPR). By using our platform, you consent to the collection, storage, and processing of your data as necessary for fulfilling orders and providing services.
  • USERS have the right to access, correct, or delete their personal data upon request, as well as request data portability or restriction of processing.
  • Personal data will not be shared with third parties except where required for order fulfillment, legal obligations, or with explicit consent.
  • Profitex implements appropriate technical and organizational measures to ensure the security and confidentiality of personal data.

7. Export and Re-Export Compliance
The USER declares that the products will not be sold, transferred, exported, re-exported or used
  • for military purposes
  • in any nuclear explosive activity or unsafeguarded nuclear fuel-cycle activity;
  • in any activities related to the development or production of chemical or biological weapons;
  • and will only be used for civil end-uses.
The USER declares that the products will not be used, sold, transferred, exported or re-exported to Russian Federation, Republic of Belarus and Iran or to any entity or person or region or country to which such sale, transfer, export or re-export would be prohibited under any Export Controls and Sanctions.
By using this platform, the USER contractually commits to PROFITEX s.r.o. to the following prohibition of re-export to Russia and Belarus:
As customer of PROFITEX s.r.o. (VAT no.: CZ26955067), we are contractually bound, under our responsibility, to the following “No re-export to Russia and Belarus” clauses which becomes integral part for our purchases specified above in subject:
  1. If the customer is not based in the EU and not in one of the partner countries in accordance with Annex VIII of Regulation (EU) No. 833/2014, it must not sell, export and re-export, directly or indirectly, to the Russian Federation or for use in the Russian Federation any goods supplied under or in connection with the contractual relationship existing between the customer and PROFITEX s.r.o. that fall under the scope of Article 12g of Council Regulation (EU) No 833/2014.
  2. The customer is obligated to ensure that the purpose of paragraphs (1) of this clause is not violated and undermined by any third parties further down the commercial chain, including by possible resellers.
  3. The customer shall set up and maintain an adequate monitoring mechanism to detect conduct by any third parties further down the commercial chain, including by possible resellers, that would frustrate the purpose of paragraph (1) of this clause.
  4. Any violation of paragraphs (1), (2) and (3) of this clause shall constitute a material breach of an essential element of the contract, entitling PROFITEX s.r.o. to terminate the contract without notice and to demand a contractual penalty of EUR 250,000 (two hundred and fifty thousand EUR).
  5. The customer is obligated to inform PROFITEX s.r.o. immediately of any problems in the application and implementation of paragraphs (1), (2) or (3) of this clause, including any relevant activities by third parties that could frustrate the purpose of paragraph (1) of this clause. Upon request, the customer shall provide PROFITEX s.r.o. within two weeks with information on compliance with the obligations under paragraphs (1), (2) or (3) of this clause.
  6. The above paragraphs (1) to (5) of this clause shall also apply in the full extent with respect to the use of intellectual property rights, trade secrets or other information relating to the common priority items listed in Annex XL to Council Regulation (EU) No 833/2014 which fall within the scope of Article 12ga of Council Regulation (EU) No 833/2014 and which are intended, directly or indirectly, for sale, supply, transfer or export to, or use in, Russia. The customer also undertakes to prohibit any sublicensees from exercising and using such intellectual property rights or trade secrets.
  7. The above paragraphs (1) to (6) of this clause shall also apply in the full extent with regard to re-export to Belarus according to Article 8g paragraph 1 of Council Regulation (EC) No. 765/2006.
The USER agrees to provide PROFITEX s.r.o. with detailed information of the final use and customer of their goods any time they require.
8. Termination of Access
  • Profitex reserves the right to suspend or terminate access to the platform for any breach of these Terms and Conditions.
9. Governing Law
  • These Terms and Conditions are governed by the laws of Czech Republic.
10. Amendments
  • Profitex reserves the right to modify these Terms and Conditions at any time. Continued use of the platform constitutes acceptance of any changes.
